1. About these terms

These terms govern your use of gsgwholesale.com and your dealings with G Squared Group LLC (“GSG,” “we,” “us”), based in Hixson, Tennessee with a leased warehouse in Conover, North Carolina. By using this site or placing an order, you agree to them.

2. This site is informational

Nothing on this site is an offer to sell at a stated price. We do not publish prices; pricing is quoted per account, by size and quantity, and pickup and delivered pricing are quoted separately. Product availability, specifications, and the catalog itself change as stock moves.

We try to keep the site accurate but do not warrant that it is complete, current, or error-free.

3. Quotes and orders

• Quotes are valid only for the period stated, and are subject to stock being available when you confirm.
• Stock by size is confirmed at the time we quote, because availability moves as orders go out.
• An order is accepted when we confirm it, not when it is submitted.
• Freight quotes are estimates and may change. The buyer is responsible for any variance in freight cost.
• Sales tax is charged unless you provide a valid resale certificate, in which case no sales tax is collected on qualifying purchases.

4. Payment

Payment terms are set per account and stated on your invoice. Unless we agree otherwise in writing, invoices are due on the terms shown. A card-processing fee may be added to card payments and will be shown on the invoice before you pay.

5. Pickup and delivery

Warehouse pickup in Conover, North Carolina is arranged on the order — call or text before you drive out. Delivery can be arranged for qualifying orders and is quoted separately. Title and risk of loss pass to you on pickup, or on delivery to the address you give us.

6. Returns and warranty

Return and warranty terms depend on what you bought and are stated on your invoice.

• Main line products carry the manufacturer’s warranty stated on the invoice. Returns are not accepted.
• Closeout and overstock products are sold as-is. All sales are final, with no refunds and no returns.

The wording printed on your invoice controls. Inspect goods at pickup or delivery and report visible damage or shortages promptly so we can address it.

7. Text messages

If you provide a mobile number, you agree we may contact you by call or text about your quote, order, or account. Message frequency varies with your activity. Message and data rates may apply. Reply STOP to opt out at any time, or HELP for help. Carriers are not liable for delayed or undelivered messages. 8. Acceptable use

Do not use this site to break the law, to submit false information, to send automated or bulk submissions through our form, to attempt to gain unauthorized access, or to interfere with the site’s operation.

9. Intellectual property

The site’s text, layout, photography, and the G Squared Group and Midnight Estate names and marks belong to us. Manufacturer brand names in our catalog belong to their respective owners and are used only to identify the products we carry. Do not copy or reuse our content without permission.

10. Disclaimers and limitation of liability

This site is provided “as is,” without warranties of any kind beyond those we state in writing or that cannot be excluded by law. Product warranties are those stated on your invoice.

To the extent the law allows, we are not liable for indirect, incidental, special, or consequential damages, or for lost profits. Our total liability for any claim will not exceed the amount you paid for the goods that claim relates to. Nothing here limits liability that cannot lawfully be limited.

11. Governing law

These terms are governed by the laws of the State of Tennessee, without regard to conflict-of-law rules. Disputes will be brought in the state or federal courts serving Hamilton County, Tennessee.

12. Changes

We may update these terms. The date at the top shows when they last changed, and the version in effect when you place an order applies to that order.
